Fondau LLC Terms of Use

Welcome to Fondau. These Terms of Use govern your access to and use of the Fondau website, mobile applications, services, and marketplace platform. By accessing or using the platform, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree, do not use the platform. These Terms form a legally binding agreement between you and Fondau LLC, a Delaware limited liability company.

By using the platform, you represent that you are at least 18 years of age and have the legal capacity to enter into this agreement. If you use the platform on behalf of a company or organization, you represent that you have the authority to bind that entity.

Fondau operates a B2B and B2C online marketplace that connects manufacturers and suppliers of construction materials with buyers, including contractors, developers, and individuals. Fondau facilitates transactions but is not the manufacturer, seller, or provider of the goods listed by third-party vendors on the platform.

To access certain features, you may need to create an account. You agree to provide accurate, current, and complete information, maintain the confidentiality of your credentials, and accept responsibility for all activities under your account. We reserve the right to suspend or terminate your account if we believe you have violated these Terms.

All orders placed through the platform are subject to availability, confirmation, and acceptance by the respective vendor. Prices and availability are subject to change without notice. Fondau may facilitate payment processing between buyers and sellers. By submitting payment information, you authorize us or our third-party payment processors to charge the amount due. Fondau is not responsible for the performance or quality of products provided by third parties.

Shipping and delivery policies, including lead times, fees, and return conditions, are set out in our Delivery and Payment Policy, which is incorporated by reference into these Terms.

You agree not to use the platform for any unlawful purpose, upload or transmit viruses, malware, or harmful code, interfere with the operation or security of the platform, misrepresent your identity or affiliation, or infringe upon the intellectual property rights of others. We reserve the right to investigate and take legal action against violations.

Vendors listing products on the platform must comply with all applicable laws, regulations, and Fondau policies, including accurate product descriptions, pricing, and compliance with safety and building standards. Fondau reserves the right to remove listings, suspend accounts, or terminate vendor relationships for violations.

All content on the platform, including text, graphics, logos, images, software, and data compilations, is the property of Fondau or its licensors and is protected by U.S. and international copyright and trademark laws. You may not use, copy, modify, distribute, or create derivative works without prior written consent.

The platform may contain links to third-party websites. Fondau does not control and is not responsible for the content or policies of third parties. Your use of those sites is at your own risk.

The platform and all content, products, and services are provided on an AS IS and AS AVAILABLE basis, without warranties of any kind, whether express or implied. Fondau disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, Fondau and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the platform. Fondau's total liability shall not exceed the greater of the amount paid by you through the platform in the six months preceding the claim or 100 USD.

You agree to indemnify, defend, and hold harmless Fondau, its officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses arising from your use of the platform or violation of these Terms.

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any dispute shall be resolved through binding arbitration in Los Angeles County, California, administered by the American Arbitration Association, and not in court, except for small claims actions. You waive the right to a jury trial.

Fondau reserves the right to suspend or terminate your access to the platform at any time, without notice, for conduct that violates these Terms or is otherwise harmful to the platform, users, or vendors.

We may modify these Terms at any time. Updates will be posted on the platform with the effective date. Continued use after changes constitutes acceptance.
